(WEB HOST INDUSTRY REVIEW) — Online collaboration solutions provider NetConnect (www.netconnect.com) has entered into a preliminary agreement to buy infrastructure management software developer Ensim Corporation (www.ensim.com), in what is expected to create cloud-computing offerings that address the need to manage both software and services for large enterprises and service providers.

According to Ensim’s Wednesday announcement, NetConnect and Ensim have entered into a letter of intent to join the two businesses, with a definitive agreement expected to be reached within the next two weeks.

The combined company, Ensim said, will have a strong combined product portfolio that will result in a dramatic increase in revenue and earnings. According to the announcement, the combined business will also “see significant synergy with sales and marketing efforts and product development, with a strong, well-rounded management team.”

Both founded in 1998, NetConnect and Ensim are focused on software and services that automate complex tasks, which normally involve manual work by IT professionals. This not only reduces administrative costs, but also reduces the amount inevitable human errors that arise from manual processes.

The combined entity is expected to have a strong presence in both the US and European marketplace for collaborative solutions, including enhanced collaboration and communication capabilities for end users leveraging Microsoft technologies. It will also leverage deep technology assets managing key applications with its suite of infrastructure management tools that enable identity and access management, provisioning and administration automation, change audit and reporting, and policy enforcement for Microsoft server products including Active Directory, Exchange, SharePoint, SQL, and Office Communications Server.

The completion of this proposed deal is subject to approval by the Board of Directors and shareholders of the respective companies.
