has completed its previously announced acquisition of the optical

transceiver business of IBM Corporation (ibm.com). The company paid IBM $100

million in cash and 26.9 million shares of JDS Uniphase common stock in the
r

transaction. Additional payments of up to $85 million in cash or stock may
r

be made in early 2003, based on the financial performance of the acquired
r

business.

JDS Uniphase is a technology company that designs, develops, manufactures

and sells a range of products for fiberoptic communications applications.

These products are deployed by system manufacturers to develop advanced
